Cloud Terms

0. Commercial path (read this first)
These are direct-invoice subscription terms: ISANNA TECNOLOGIA LTDA, CNPJ 66.060.335/0001-03 ("isanna", "we", "us") is the direct seller of the Hive Cloud subscription described here — there is no merchant-of-record (e.g. Paddle) standing between isanna and the customer for this path. isanna is controller of record only for the account, billing, and subscription-administration data associated with this subscription (organization/contact details, invoicing records, seat/tier administration) — the same role it plays for beta-application data under the general Privacy notice. isanna is not the controller of the customer's tenant memory content stored in the service: for that data isanna acts strictly as processor and the customer is controller, under the Data Processing Addendum (see Section 9 and the Cloud Privacy notice). This direct-invoice path is used only if isanna's accountant confirms in writing (see the Simples-Nacional cross-border memo) that direct USD invoicing does not jeopardize isanna's Simples Nacional tax regime and creates no unmanaged FX-contract exposure. If that memo does not come back green before a pilot's first invoice, the pilot is billed under a separate Paddle-merchant-of-record variant instead (not this document) — that variant is a follow-up, not built here.
1. What this covers
These Cloud Terms govern a customer's Hive Cloud subscription — the paid, hosted memory-substrate service (managed multi-tenant Postgres + the hosted MCP endpoint) that isanna operates on the customer's behalf. They are separate from:
- the website / private-beta Terms (which cover the free beta and this site), and
- the Apache License, Version 2.0 that governs the open-source Core (
hivemind-core) — running the Core yourself is never gated by these terms or by any subscription; the Core stays Apache-2.0 and free to self-host whether or not you ever buy Cloud.
By subscribing to Hive Cloud, the customer agrees to these Cloud Terms in addition to the site Terms (acceptable use, contact) where not superseded here.
2. The service
Hive Cloud is a hosted subscription service that stores and serves an organization's agent-memory substrate (tenant memory content) on isanna-operated infrastructure (Fly.io compute, Supabase Postgres), reachable over the hosted MCP endpoint and (where licensed) the Hive Console. It is offered at the tier and seat count stated in the customer's order.
3. Subscription term & auto-renewal
Subscriptions run for the billing period stated in the order (monthly or the stated pilot term) and automatically renew for successive periods of the same length unless cancelled before the renewal date. There is no separate "opt-in" required for each renewal — silence renews, exactly as stated here at signup.
4. How to decline renewal / cancel
A customer may decline the next renewal or cancel the subscription at any time by emailing legal@isanna.ai at least 3 business days before the next renewal date. Cancellation takes effect at the end of the then-current paid period; isanna does not bill any further period after a timely cancellation. Access to the hosted service ends at the end of the paid period; the customer's stored memory content is retained for a wind-down window (stated in the Data Processing Addendum) and then erased on request or at the end of that window, whichever comes first.
5. Refunds
Because Hive Cloud is billed in advance for a recurring service (not a one-time digital good), refund requests are handled as follows:
- Service failure: if the hosted service materially fails to work as described and isanna cannot fix it within a reasonable time, email refund@isanna.ai within 14 days of the affected billing period and we will refund that period pro-rata.
- Duplicate or mistaken charge: refunded in full on request.
- Ordinary cancellation: stops future renewals (Section 4) but does not itself refund the current paid period, unless required by applicable local consumer law.
This does not affect any statutory cancellation/refund rights the customer may have under their local law (e.g. EU/UK consumer protection).
6. Fees & payment
Fees are invoiced directly by ISANNA TECNOLOGIA LTDA in the currency and on the schedule stated in the order (typically USD, monthly in advance). Late payment may suspend hosted access after notice.
7. Warranty disclaimer
To the extent permitted by law, Hive Cloud is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement — consistent with the disclaimer in the site Terms. Nothing here limits a warranty that cannot be limited by law.
8. Limitation of liability
To the extent permitted by law, isanna's aggregate liability arising out of a Hive Cloud subscription is limited to the fees paid by the customer for that subscription in the 3 months preceding the claim, and isanna is not liable for indirect, incidental, or consequential damages. Nothing here limits liability that cannot be limited by law (e.g. for gross negligence, willful misconduct, or death/personal injury where applicable).
9. Data processing
Processing of tenant memory content under a Hive Cloud subscription is governed by the Data Processing Addendum ("DPA"), executed per pilot on request — see DPA. The "Cloud service data" section of the Cloud Privacy notice describes what is stored, where, and for how long.
